Terms and Conditions
Miller Enterprises — Digital Front Door Service
Effective Date: June 3, 2026
These Terms and Conditions ("Terms") govern all services provided by Matthew Miller, doing business as Miller Enterprises ("Provider," "we," "us," or "our"), a sole proprietorship based in Three Rivers, Michigan. By engaging our services or submitting a form, you ("Client") agree to these Terms.
1. Scope of Services and Agreement to Perform Work
We are only obligated to perform work once we have issued an invoice to you. Prior to the issuance of an invoice, no work is guaranteed, and all discussions, quotes, or proposed services are subject to change or withdrawal at our sole discretion.
2. Founding Client Rate ($99 Option)
The $99 Founding Client rate is a limited promotional offer and is not guaranteed. Eligibility is restricted to businesses located in the following counties:
Michigan Counties: St. Joseph County, Cass County, Branch County, Van Buren County, and Hillsdale County.
Northern Indiana Counties: Elkhart County, LaGrange County, St. Joseph County (IN), LaPorte County, and Steuben County.
We reserve the right to decline the $99 rate at our discretion.
3. Payment Terms
All invoices are due on Net 30 terms from the invoice date.
4. Consequences of Late Payment
If an invoice remains unpaid after the Net 30 due date, we reserve the right to unpublish and take down the Client's website.
If the invoice is paid in full within 7 days after the original Net 30 due date, the website will be republished and the original agreement will remain in effect.
If the invoice remains unpaid for more than 7 days after the original Net 30 due date, the invoice amount will increase by $10 per day for each additional day the invoice goes unpaid (if the Client wishes to resume services). We reserve the right to decline any future updates or changes to the Client's website and to modify the fees associated with any future updates at our sole discretion.
5. Revisions
One round of revisions is included. Any additional revisions or work will be billed at a $25 base fee plus $1 per Lovable credit used.
6. In-Person Meetings
In-person meetings are available upon request. There is no travel fee for meetings within St. Joseph County, Michigan. A flat $75 travel fee will be added for meetings outside of St. Joseph County, Michigan.
7. Intellectual Property and Codebase Ownership
The Client shall only obtain ownership rights to the website codebase upon full payment of all outstanding invoices. Until full payment is received, Miller Enterprises retains all rights. Upon request and after full payment, we will provide the Client with the codebase. We reserve the right to stop hosting the website at any time and provide the Client with their codebase. We also reserve the right to introduce monthly or yearly hosting or subscription fees in the future.
8. Custom Domains and Hosting
Custom domains and hosting are recurring third-party services (e.g., Hostinger). We are not responsible for renewals or hosting issues.
9. No Guarantee of Results
We provide no guarantees regarding leads, conversions, or business results.
10. Disclaimer of Warranties
All services are provided "AS IS" without warranty of any kind.
11. Limitation of Liability
Our total liability shall not exceed the total amount paid by the Client. We are not liable for indirect or consequential damages.
12. Governing Law and Venue
These Terms shall be governed by the laws of the State of Michigan. Any legal proceedings shall be brought exclusively in the courts of St. Joseph County, Michigan.
13. Entire Agreement
These Terms, together with any invoice, constitute the entire agreement between the parties.
